Terms of Service

These Terms of Service govern your access to and use of FSM Navigator, operated by CJD Technologies LLC.

1. Acceptance of Terms

By accessing, browsing, or using the FSM Navigator platform (the "Service"), including any associated websites, mobile applications, APIs, and documentation, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), as well as our Privacy Policy, which is incorporated herein by reference.

If you are entering into these Terms on behalf of a company, organization, or other legal entity ("Organization"), you represent and warrant that you have the authority to bind that Organization to these Terms. In such case, "you" and "your" shall refer to both you individually and the Organization.

If you do not agree to these Terms, you must immediately cease all use of the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.

These Terms constitute a legally binding agreement between you and CJD Technologies LLC ("Company," "we," "us," or "our"), the owner and operator of FSM Navigator.

2. Description of Service

FSM Navigator is a cloud-based, multi-tenant Software-as-a-Service ("SaaS") platform designed for field service management. The Service provides tools for job scheduling, dispatching, technician management, customer relationship management, invoice generation, payment tracking, inventory management, asset management, dispatch optimization, and related business operations.

The Service includes, but is not limited to, the following capabilities:

  • Job scheduling, dispatching, and real-time status tracking
  • Native mobile applications for iOS and Android with offline synchronization
  • Customer management with encrypted personally identifiable information (PII)
  • Invoice generation, payment tracking, and financial reporting
  • GPS-based dynamic dispatch optimization for field technicians
  • Task-scoped in-app messaging
  • File uploads including task images, company logos, and CSV imports
  • Push notifications for real-time alerts
  • Enterprise REST API with API key authentication
  • Asset management with depreciation tracking
  • Inventory management with barcode scanning
  • KPI dashboards and business intelligence reporting
  • Customer self-service portal (Pro plan)
  • QuickBooks Online integration (Pro plan)

The Service is provided on an "as available" basis. We do not guarantee that the Service will be available at all times, uninterrupted, or error-free. Scheduled maintenance, updates, and unforeseen technical issues may result in temporary unavailability. We will make commercially reasonable efforts to minimize downtime and provide advance notice of planned maintenance.

3. Account Registration & Responsibilities

3.1 Registration

To use the Service, you must create an account by providing accurate, current, and complete information. You agree to update your account information promptly to keep it accurate and complete. Providing false, misleading, or outdated information constitutes a breach of these Terms and may result in immediate termination of your account.

3.2 Account Security & Credential Confidentiality

You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any multi-factor authentication methods. Your account is for your individual use only. You agree to:

  • Use a strong, unique password for your FSM Navigator account
  • Not share your login credentials with any other person, whether authorized or not. Each user must have their own account
  • Enable multi-factor authentication when required by your Organization's administrator
  • Immediately notify us at [email protected] of any unauthorized access to or use of your account
  • Log out of your account at the end of each session, especially on shared devices

3.3 Account Scope

Each account is associated with a single company or Organization. You may not create multiple accounts to circumvent user limits, plan restrictions, or any other limitations imposed by your subscription plan. Sub-accounts (user accounts within your Organization) may be created and managed by the account Owner in accordance with your subscription plan's user limits.

3.4 Liability for Account Activity

You are responsible for all activity that occurs under your account, whether or not authorized by you. CJD Technologies LLC shall not be liable for any loss or damage arising from your failure to secure your account credentials.

3.5 Concurrent Session Limits

Account access is limited to one concurrent session at a time. You may have only one active login session per user account. If you log in to your account from a different device or location while already logged in elsewhere, your previous session will be automatically terminated. Account sharing or credential delegation is strictly prohibited and may result in immediate account suspension or termination.

4. Subscription Plans & Billing

4.1 Plans and Pricing

FSM Navigator offers the following subscription plans, each with defined features and user limits. Pricing is on a per-user, per-month basis:

Prices are listed in United States Dollars (USD) and are exclusive of applicable taxes. We reserve the right to modify pricing at any time, subject to the notice provisions in Section 4.5.

4.2 Billing Cycles

Paid plans are available on monthly or annual billing cycles. Annual billing is offered at a discount of approximately 20% compared to monthly billing. Subscriptions begin on the date of purchase and renew automatically at the end of each billing cycle unless cancelled prior to the renewal date.

4.3 Auto-Renewal

All paid subscriptions automatically renew at the end of each billing cycle at the then-current rate. By subscribing to a paid plan, you authorize CJD Technologies LLC to charge your designated payment method on a recurring basis. You may cancel auto-renewal at any time through your account settings, but cancellation will take effect at the end of the current billing period.

4.4 Payment Processing

All payments are processed through Stripe, a third-party payment processor. CJD Technologies LLC does not store your credit card or payment card information on its servers. By making a payment, you also agree to Stripe's terms of service and privacy policy. You are responsible for ensuring that your payment information is accurate and up to date.

Certain businesses and activities are not permitted on FSM Navigator, whether or not you use our payment features. You may not use the Service to run, promote, or support any business or activity that is illegal or that Stripe treats as restricted or prohibited, and you must follow Stripe's Restricted Businesses rules. See Prohibited Businesses and Activities in our Acceptable Use Policy for details.

4.5 Price Changes

We may change the fees for any subscription plan at any time. Any price increase will become effective at the start of your next billing cycle following at least thirty (30) days' advance written notice. Notice will be provided via email to the account owner and/or through an in-app notification. If you do not agree to the price change, you must cancel your subscription before the new pricing takes effect.

4.6 Payment Failure, Grace Period, and Suspension

If a payment fails, the following process applies:

  1. Grace Period: You will have a one (1) day grace period to resolve the payment failure. During this period, full access to the Service continues.
  2. Suspension: If payment is not resolved within the grace period, your account will be suspended. While suspended, your data is preserved but write access to the Service is restricted.
  3. Downgrade: If the payment issue remains unresolved, your account will be downgraded to the Free plan. Users exceeding the Free plan's five (5) user limit will be deactivated. The account Owner may select which users to reactivate within the Free plan's limits.

4.7 Refund Policy

Subscription fees are generally non-refundable. If you cancel a monthly subscription, you will retain access to the paid features through the end of the current billing period, but no refund will be issued for the remaining days. For full details, see our Refund Policy.

For annual subscriptions, if you downgrade or cancel mid-cycle, a pro-rata credit may be applied to your account for the unused portion of the billing period. Credits are non-transferable, have no cash value, and expire twelve (12) months from the date of issuance. Credits may be applied toward future subscription charges only.

CJD Technologies LLC reserves the right, in its sole discretion, to issue refunds or credits on a case-by-case basis.

4.8 Taxes

You are responsible for all applicable taxes associated with your use of the Service, including but not limited to sales tax, use tax, value-added tax (VAT), and goods and services tax (GST). Prices displayed do not include taxes unless explicitly stated.

5. Free Plan Terms

The Free plan provides access to a limited set of features and is restricted to a maximum of five (5) active users per Organization. The Free plan is offered at no cost and is intended for small teams to evaluate the Service or manage basic field service operations.

The Free plan is provided without any service level agreement (SLA) or uptime commitment. Availability is on a best-effort basis only. CJD Technologies LLC makes no guarantees regarding the availability, performance, or continuity of the Free plan. Paid plans include service availability commitments detailed in our Service Level Agreement.

We reserve the right to modify, limit, or discontinue the Free plan (including adjusting features, user limits, or usage quotas) at any time, with at least ninety (90) days' advance written notice to affected users. If the Free plan is discontinued, affected users will be given the opportunity to upgrade to a paid plan or export their data in accordance with Section 16.

Free plan accounts that remain inactive (no login activity) for a period of one hundred and eighty (180) consecutive days may be flagged for review and, at our discretion, deactivated with prior notice.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must comply with our Acceptable Use Policy at all times. You shall not, and shall not permit any third party to:

  • Use the Service for any unlawful, fraudulent, or malicious purpose, or in furtherance of any illegal activity
  • Attempt to gain unauthorized access to any part of the Service, other users' accounts, or any systems or networks connected to the Service (including via hacking, password mining, brute force attacks, or any other means)
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Service or any part thereof
  • Copy, modify, adapt, translate, or create derivative works based on the Service or any part thereof
  • Scrape, crawl, or use any automated means to access the Service or collect data from the Service, except through our published API in accordance with the API Terms (Section 9)
  • Intentionally overload, disrupt, or interfere with the Service's infrastructure, including servers, networks, or other technical resources
  • Upload, transmit, or distribute any viruses, malware, worms, Trojan horses, or other harmful or malicious code
  • Share, transfer, or allow the use of your account credentials by any unauthorized person
  • Use the Service to store or transmit material that infringes on any third party's intellectual property rights, privacy rights, or other legal rights
  • Harass, threaten, defame, or intimidate any other user of the Service
  • Use the Service to send unsolicited commercial messages (spam) or engage in deceptive practices
  • Circumvent, disable, or otherwise interfere with any security-related features of the Service, including rate limiting, access controls, or encryption mechanisms
  • Resell, sublicense, or distribute access to the Service to any third party without our prior written consent
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service

6.1 Rate Limiting

The Service enforces rate limits on API calls and certain operations to ensure fair use and platform stability. If you exceed applicable rate limits, your requests may be throttled or temporarily blocked. Persistent or intentional abuse of rate limits may result in suspension or termination of your account.

6.2 Enforcement

CJD Technologies LLC reserves the right to investigate and take appropriate action against any violations of this Acceptable Use Policy, including but not limited to suspending or terminating accounts, removing content, reporting illegal activity to law enforcement authorities, and pursuing civil remedies. We may, at our sole discretion, suspend your access to the Service immediately and without prior notice if we reasonably believe that a violation has occurred or is occurring.

7. Data Ownership & Licensing

7.1 Your Data

You retain all right, title, and interest in and to the data you submit, upload, or otherwise make available through the Service ("Your Data"), including but not limited to customer records, job details, invoices, technician information, and any other content you input into the platform.

7.2 License to CJD Technologies LLC

By using the Service, you grant CJD Technologies LLC a limited, non-exclusive, worldwide, royalty-free license to access, use, process, store, transmit, copy, and display Your Data solely to the extent necessary to provide, maintain, support, and improve the Service, and as otherwise described in our Privacy Policy. Without limiting the foregoing, this license includes the right for authorized CJD Technologies LLC personnel to access Your Data on a temporary and controlled basis for the purpose of providing technical support, diagnosing reported issues, and maintaining the security and integrity of the Service, subject to the safeguards described in Section 8 and in our Security & Trust page. This license terminates when you delete Your Data from the Service or when your account is terminated, subject to applicable data retention periods described in Section 16.

7.3 Aggregated and Anonymized Data

We may generate aggregated, anonymized, or de-identified data derived from Your Data and from the use of the Service generally ("Aggregated Data"). Such Aggregated Data does not identify you or any individual and is not considered Your Data. We may use Aggregated Data for any lawful business purpose, including but not limited to improving the Service, conducting research, generating benchmarks, and developing new features.

7.4 Platform Ownership

CJD Technologies LLC owns and retains all right, title, and interest in and to the Service, including all software, code, algorithms, databases, designs, architectures, user interfaces, documentation, trademarks, service marks, trade dress, and all related intellectual property rights (collectively, the "Platform IP"). Nothing in these Terms transfers or conveys any ownership interest in the Platform IP to you.

8. Multi-Tenant Architecture

FSM Navigator operates on a multi-tenant architecture in which multiple Organizations share a common infrastructure. Each Organization's data is logically isolated at the database level through strict access controls and row-level security scoping.

You acknowledge and agree that:

  • Your data is stored in a shared infrastructure environment alongside, but logically separated from, the data of other Organizations
  • CJD Technologies LLC implements and maintains strict access controls, including role-based access control (RBAC), to ensure that users within one Organization cannot access, view, modify, or delete data belonging to another Organization
  • Authorized CJD Technologies LLC personnel may access Your Data on a time-limited and scope-restricted basis solely for the purposes of providing technical support, resolving reported issues, and maintaining the security of the Service. All such access is logged in tamper-evident audit records, subject to prohibitions on sensitive operations, and accompanied by notification to affected account administrators.   • All sensitive personally identifiable information (PII) stored within the Service is encrypted at rest and in transit using industry-standard encryption methods
  • While we employ commercially reasonable security measures to maintain data isolation, no system is completely immune to all security threats, and we do not warrant absolute security

9. API Terms (Enterprise)

Access to the FSM Navigator API is available exclusively to users on the Enterprise plan. Use of the API is subject to these Terms and the following additional conditions:

9.1 API Key Management

API access is authenticated via API keys. You are solely responsible for the security and confidentiality of your API keys. API keys are shown only once at the time of creation and cannot be retrieved thereafter. You must treat API keys as confidential credentials and must not share, publish, or embed them in client-side code or publicly accessible repositories.

9.2 Rate Limits

The API is subject to rate limits as published in our API documentation, including but not limited to per-minute, per-hour, and daily request limits. Exceeding these limits will result in throttled or rejected requests. We reserve the right to adjust rate limits at any time.

9.3 Backward Compatibility

While CJD Technologies LLC will make best efforts to maintain backward compatibility of the API, we do not guarantee that API interfaces, endpoints, request formats, or response formats will remain unchanged. We may modify, deprecate, or retire API endpoints at any time. We will provide reasonable advance notice of breaking changes when practicable.

9.4 API Abuse

Any use of the API that is excessive, abusive, or in violation of these Terms may result in temporary or permanent suspension of API access, throttling, or termination of your account. Abusive use includes, but is not limited to, excessive polling, scraping, unauthorized data extraction, and denial-of-service attacks.

10. Third-Party Integrations

The Service may integrate with or provide access to third-party services, including but not limited to:

  • Stripe — for payment processing
  • Google Maps / Google Routes API — for geocoding, mapping, and dispatch optimization
  • QuickBooks Online — for accounting integration (Pro plan)
  • Amazon SES — for transactional email delivery
  • Apple Push Notification service (APNs) and Firebase Cloud Messaging (FCM) — for push notifications

Your use of these third-party services is subject to the respective terms of service, privacy policies, and licensing agreements of each third-party provider. CJD Technologies LLC is not responsible for the availability, accuracy, performance, or conduct of any third-party service. We do not endorse and are not liable for any loss, damage, or claim arising from your use of or reliance on any third-party service.

Where integrations involve the exchange of authentication tokens (such as OAuth 2.0 tokens), CJD Technologies LLC stores such tokens in encrypted form and manages them in accordance with our security practices. However, the security and proper functioning of third-party authentication systems is outside our control.

11. Intellectual Property

The FSM Navigator name, logo, trade dress, and all associated visual design elements are trademarks or registered trademarks of CJD Technologies LLC. All content, software, code, algorithms, data structures, user interfaces, documentation, and other materials available through the Service are the proprietary property of CJD Technologies LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Subject to your compliance with these Terms, CJD Technologies LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes during the term of your subscription. This license does not include the right to:

  • Copy, reproduce, distribute, or publicly display any part of the Service
  • Modify, adapt, translate, or create derivative works based on the Service
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
  • Remove, alter, or obscure any proprietary notices, labels, or markings on the Service
  • Use the Service to build or support a competing product or service
  • Sublicense, lease, rent, sell, or otherwise transfer access to the Service to any third party

Any unauthorized use of the Service or any intellectual property associated with the Service may violate copyright, trademark, and other applicable laws and could result in criminal or civil penalties. To report copyright infringement, see our DMCA Policy.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CJD TECHNOLOGIES LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA, CONTENT, INFORMATION, OR RESULTS OBTAINED THROUGH THE SERVICE;
  • ANY WARRANTY REGARDING THE ACCURACY OF JOB SCHEDULING, DISPATCH OPTIMIZATION, FINANCIAL CALCULATIONS, DEPRECIATION COMPUTATIONS, INVENTORY COUNTS, OR ANY OTHER AUTOMATED FEATURES OF THE SERVICE;
  • ANY WARRANTY THAT DEFECTS IN THE SERVICE WILL BE CORRECTED;
  • ANY WARRANTY THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. CJD TECHNOLOGIES LLC DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM CJD TECHNOLOGIES LLC OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

CJD TECHNOLOGIES LLC IS NOT RESPONSIBLE FOR AND MAKES NO WARRANTIES REGARDING THE CONDUCT, PERFORMANCE, QUALITY OF WORK, OR ACTIONS OF ANY FIELD TECHNICIAN, EMPLOYEE, CONTRACTOR, OR AGENT MANAGED OR TRACKED THROUGH THE SERVICE. THE SERVICE IS A MANAGEMENT TOOL AND DOES NOT SUPERVISE, DIRECT, OR GUARANTEE THE PERFORMANCE OF ANY FIELD OPERATIONS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CJD TECHNOLOGIES LLC, ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE "CJD PARTIES") BE LIABLE FOR ANY OF THE FOLLOWING, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE CJD PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
  • LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS;
  • LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS TO DATA;
  • BUSINESS INTERRUPTION OR LOSS OF USE;
  • COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES;
  • DAMAGES ARISING FROM OR RELATED TO THE FAILURE, INTERRUPTION, OR UNAVAILABILITY OF ANY THIRD-PARTY SERVICE, INCLUDING BUT NOT LIMITED TO STRIPE, GOOGLE MAPS, QUICKBOOKS ONLINE, AMAZON SES, OR ANY OTHER INTEGRATED SERVICE;
  • DAMAGES ARISING FROM THE ACTIONS, OMISSIONS, PERFORMANCE, OR CONDUCT OF ANY FIELD TECHNICIAN, EMPLOYEE, CONTRACTOR, OR AGENT MANAGED OR TRACKED THROUGH THE SERVICE;
  • DAMAGES ARISING FROM DISPUTES BETWEEN YOU AND YOUR CUSTOMERS, END-USERS, OR ANY OTHER THIRD PARTY;
  • DAMAGES ARISING FROM INACCURACIES IN SCHEDULING, DISPATCH OPTIMIZATION, FINANCIAL CALCULATIONS, OR ANY OTHER AUTOMATED FEATURE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE CJD PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNTS ACTUALLY PAID BY YOU TO CJD TECHNOLOGIES LLC DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE DATE THE CLAIM AROSE. IF YOU HAVE NOT PAID ANY AMOUNTS TO CJD TECHNOLOGIES LLC (E.G., FREE PLAN USERS), THE CJD PARTIES' MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED FIFTY UNITED STATES DOLLARS ($50.00 USD).

THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY EVEN IF ANY REMEDY PROVIDED UNDER THESE TERMS FAILS OF ITS ESSENTIAL PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, THE LIABILITY OF THE CJD PARTIES SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless CJD Technologies LLC, its officers, directors, members, managers, employees, agents, affiliates, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, causes of action, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your use of or access to the Service, including any data or content you transmit or receive through the Service
  • Your violation of these Terms or any applicable law, regulation, or third-party right
  • Your infringement or misappropriation of any intellectual property, privacy, or other right of any third party
  • Any claim brought by your customers, end-users, or any third party arising from your use of the Service or the services you provide using the Service
  • Any data or content uploaded, stored, or transmitted by you through the Service, including claims that such data infringes any third-party right
  • The actions, omissions, negligence, or misconduct of your employees, technicians, contractors, or agents in the field or otherwise, whether or not managed or tracked through the Service
  • Any dispute arising between you and any third party related to the services you provide

CJD Technologies LLC reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify the Indemnified Parties, and you agree to cooperate with our defense of such claims. You agree not to settle any such claim without the prior written consent of CJD Technologies LLC.

15. Termination

15.1 Termination by You

You may terminate your account at any time by contacting us at [email protected] or through the account settings within the Service. Termination will take effect at the end of your current billing period. You will retain access to the Service until the end of the billing period for which you have already paid.

Individual users may also permanently delete their own account through the self-service option in their profile settings. Account deletion is immediate and irreversible — your personal information is removed from our live systems as soon as you confirm. Company owners can delete their entire company account through the company settings. See Section 15.5 for details.

15.2 Termination by CJD Technologies LLC

CJD Technologies LLC may suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or the Acceptable Use Policy
  • Non-payment of fees
  • Conduct that we believe is harmful to other users, third parties, or the Service
  • Excessive payment disputes, chargebacks, or refunds, or a dispute or chargeback rate that we or our payment provider consider too high
  • Extended inactivity on a Free plan account
  • A request by law enforcement or other government agency
  • Discontinuation or material modification of the Service

15.3 Effect of Termination

Upon termination of your account:

  • Your right to access and use the Service immediately ceases (except during any remaining paid period for user-initiated terminations)
  • You will have a thirty (30) day window to request an export of Your Data (see Section 16)
  • After the thirty (30) day data export window, Your Data will be permanently and irreversibly deleted from our systems, except as required by applicable law or legitimate business interests (e.g., anonymized aggregated data, audit logs)
  • Any outstanding fees owed to CJD Technologies LLC remain due and payable

For users who delete their account through the self-service option, personal data is erased immediately upon confirmation — there is no waiting period. See Section 15.5 for details on what happens when you delete your account.

15.4 Survival

The following sections shall survive the termination or expiration of these Terms: Sections 7 (Data Ownership & Licensing), 11 (Intellectual Property), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), 17 (Governing Law & Dispute Resolution), and 20 (Severability & Entire Agreement).

15.5 User-Initiated Account Deletion

In addition to the termination options above, individual users can permanently delete their own account at any time through the self-service option in their profile settings. Deletion is immediate and irreversible once you confirm.

When you delete your account:

  • All personal information (name, email, phone number, and other profile data) is permanently erased from our live systems
  • Historical work records (such as completed jobs and service notes) may retain your name to preserve the company’s business records
  • Your company’s owner(s) are notified that a team member has left
  • Audit logs and billing records are retained as described in our Privacy Policy

If you are the sole owner of your company, you’ll need to either transfer ownership to another team member or delete the company account before you can delete your individual account.

Company owners can delete the entire company account through the company settings. For companies with multiple owners, deletion requires approval from a second owner. When a company is deleted, all associated data — including all user accounts, customer records, job history, and operational data — is permanently removed. Billing records and audit logs are retained for legal compliance as described in our Privacy Policy.

16. Data Export & Portability

During the term of your subscription and for thirty (30) days following termination, you may request an export of Your Data. Data exports will be provided in standard, machine-readable formats such as CSV and JSON, as applicable.

To request a data export, contact us at [email protected]. We will process export requests within a commercially reasonable timeframe, typically within ten (10) business days.

After the thirty (30) day post-termination window, Your Data will be permanently deleted from our active systems. Residual copies of Your Data may persist in backup systems for a limited period as part of normal backup procedures but will not be actively accessible and will be deleted in accordance with our backup retention policies.

CJD Technologies LLC is not responsible for any loss of data resulting from your failure to request an export within the thirty (30) day post-termination window.

17. Governing Law & Dispute Resolution

17.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Illinois, United States of America, without regard to its conflict of law principles.

17.2 Informal Dispute Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute informally within thirty (30) days. If the dispute is not resolved within thirty (30) days, either party may proceed with the formal dispute resolution process described below.

17.3 Binding Arbitration

For any dispute, claim, or controversy arising out of or relating to these Terms or the Service where the amount in controversy is Twenty-Five Thousand United States Dollars ($25,000.00 USD) or less, the parties agree to submit such dispute to binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

The arbitration shall be conducted in English. The seat of arbitration shall be Chicago, Illinois, United States, unless the parties mutually agree to an alternative location or to conduct the proceedings remotely.

17.4 Exclusive Jurisdiction

For disputes where the amount in controversy exceeds Twenty-Five Thousand United States Dollars ($25,000.00 USD), or for disputes not subject to arbitration, the parties irrevocably submit to the exclusive personal jurisdiction and venue of the state and federal courts located in Cook County, Illinois, and the United States District Court for the Northern District of Illinois.

17.5 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND CJD TECHNOLOGIES LLC AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR IN COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST CJD TECHNOLOGIES LLC. If any court or arbitrator determines that this class action waiver is void or unenforceable for any reason, or that an arbitration can proceed on a class basis, then the arbitration provision set forth above shall be deemed null and void, and the parties shall be deemed to have not agreed to arbitrate disputes.

17.6 Injunctive Relief

Notwithstanding any other provision of this Section, either party may seek injunctive or other equitable relief from any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

18. Service Level Agreement (SLA)

For complete service level details, see our Service Level Agreement.

18.1 Uptime Commitment

For Pro and Enterprise plan subscribers, CJD Technologies LLC targets a monthly uptime of 99.9% for the core Service, measured as a percentage of total minutes in a calendar month, excluding Scheduled Maintenance (as defined below).

18.2 Scheduled Maintenance

CJD Technologies LLC may perform scheduled maintenance on the Service from time to time. Whenever reasonably practicable, we will provide at least forty-eight (48) hours' advance notice of scheduled maintenance that is expected to result in material downtime. Scheduled maintenance windows are excluded from uptime calculations.

18.3 Service Credits

If the Service fails to meet the 99.9% uptime target in any calendar month (excluding Scheduled Maintenance), eligible Pro and Enterprise plan subscribers may request a service credit as follows:

Monthly Uptime Service Credit
99.0% – 99.9% 10% of monthly subscription fee
95.0% – 98.9% 25% of monthly subscription fee
Below 95.0% 50% of monthly subscription fee

Service credits must be requested within thirty (30) days of the end of the affected month by contacting [email protected]. Service credits are applied to future invoices and are non-transferable and have no cash value. Total service credits for any calendar month shall not exceed 50% of the monthly subscription fee for that month.

18.4 Free Plan

The Free plan is not covered by any service level agreement. Availability is provided on a best-effort basis with no uptime guarantees, service credits, or compensation for downtime.

18.5 Exclusions

The SLA does not apply to downtime resulting from: (a) force majeure events, (b) actions or inactions of you or any third party, (c) your equipment, software, or other technology, (d) misuse of the Service in violation of these Terms, (e) third-party service failures (Stripe, Google, QuickBooks, etc.), or (f) features identified as beta or experimental.

19. Modifications to Terms

CJD Technologies LLC reserves the right to modify, amend, or update these Terms at any time at its sole discretion. When we make material changes to these Terms, we will:

  • Post the updated Terms on this page with a revised "Last Updated" date
  • Provide at least thirty (30) days' advance notice of material changes via email to the email address associated with your account and/or through an in-app notification

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of and agreement to the updated Terms. If you do not agree to the revised Terms, you must stop using the Service before the changes take effect and may terminate your account in accordance with Section 15.

Non-material changes (such as typographical corrections, formatting changes, or clarifications that do not alter the substance of the Terms) may be made at any time without prior notice.

20. Severability & Entire Agreement

20.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court, arbitrator, or other tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

20.2 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated herein by reference, constitute the entire agreement between you and CJD Technologies LLC regarding your use of the Service. These Terms supersede all prior or contemporaneous negotiations, discussions, representations, warranties, and agreements, whether written or oral, relating to the subject matter hereof.

20.3 Waiver

The failure of CJD Technologies LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any provision shall be effective only if made in writing and signed by an authorized representative of CJD Technologies LLC.

20.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of CJD Technologies LLC. CJD Technologies LLC may freely assign these Terms, in whole or in part, to any successor in interest, affiliate, or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, without your consent and without notice.

20.5 No Third-Party Beneficiaries

These Terms are intended solely for the benefit of you and CJD Technologies LLC. Nothing in these Terms confers any rights or remedies on any third party, except as expressly provided herein.

20.6 Headings

The section headings in these Terms are for convenience only and shall not affect the interpretation of any provision.
